SEBI Extends Deadline for Debenture Trustees: Ensuring Robust Market Compliance

The Securities and Exchange Board of India (SEBI) has granted a six-month extension, till October 27, for Debenture Trustees (DTs) to segregate their regulated activities from non-regulated ones.

In a significant move aimed at facilitating smoother compliance within India's financial markets, the Securities and Exchange Board of India (SEBI) has announced a six-month extension for Debenture Trustees (DTs) to separate their regulated and non-regulated business activities. The new deadline for this crucial segregation is now set for October 27.

Originally, SEBI had mandated DTs to delineate their operations, ensuring that activities falling outside the purview of the market regulator are clearly separated from those under its direct regulatory ambit. This measure is designed to enhance transparency, minimize potential conflicts of interest, and bolster investor protection in the bond market landscape.

Debenture Trustees play a vital role in safeguarding the interests of debenture holders by overseeing the terms and conditions outlined in the debenture trust deed. Their responsibilities include monitoring compliance by the issuer, ensuring timely payment of interest and principal, and acting on behalf of investors in case of default.

The extension provides much-needed relief to Debenture Trustees, allowing them additional time to implement the necessary structural and operational changes required for this segregation.
